Buildings & Grounds:(Committee: Luke Thornewill, Ken Beaugrand, Jean Wagley) Long Term Planning: Ken BeaugrandA strategic plan is being put into place. There will be a meeting to address this in the near future. Tower Update: Luke ThornewillContractors who have recently viewed the tower are working on estimates. Luke and Brian Pfeiffer will meet with the Buildings & Grounds committee, plus Lou Gennaro and Frank Robinson on April 26 to preview reports. Treasurer's Report: Frank Robinson YTD, total ordinary income lagged the budget by $10,000 but exceeded 2016 by $5,000. The balance sheet remains strong with $149,000 in working capital (vs $114,000 in 2016),$218,600 (plus the anticipated CPC $100,000 grant) nominally available for tower rehab expenses, and $687,000 in endowment funds. Hire of Auditor: Frank would like to hire an outside auditor to doublecheck his work for the past year. He and Dual will negotiate a contract with our current auditor. Cottage Lease: Moved that the lease agreement, between St. Paul's Church as landlord and Arthur Dwyer and Caroline Ferguson as tenants, relating to the Church's cottage at 14A Fair Street, in the draft form presented to the Vestry is hereby approved by a vote of 13-1, Luke Thornewill dissenting, and that either of the wardens is hereby authorized to execute such agreement in substantially such form. Bylaws: Frank RobinsonProposed changes to the bylaws have been shared with all members via email. Larry Smith suggested a change to the draft bylaws that would require that the Vestry review annually the resolution in which it had established the authority of the Executive Committee to act. After discussion, the Vestry agreed that the objective would better be achieved by the inclusion of the provision for annual review in the Vestry's resolution empowering the Executive Committee. [motion to approve]Moved that the bylaws of St. Paul's Church in the draft form presented to the Vestry are hereby approved with such minor changes as (i) may be required to obtain approval of the congregation of the Church at a meeting called for the purpose, (ii) may be required to obtain the approval of the Standing Committee and Bishop of the Episcopal Diocese of Massachusetts and (iii) are approved by both of the wardens.
